Terms and Conditions
1. Definition of Terms
1.1. Seller – GOODY 77 s.r.o., Company ID: 21314209, with its registered office at No. 324, 330 14 Ledce, registered in the Commercial Register kept by the Regional Court in Plzeň, Section C, Insert 44980, VAT ID: CZ21314209.
1.2. Buyer – An entrepreneur or a consumer who has concluded a purchase contract with the Seller in accordance with these General Terms and Conditions.
1.3. Consumer – A consumer is any individual who, outside the scope of their business activity or outside the scope of the independent performance of their profession, concludes a contract with the Seller or otherwise deals with them legally. The Seller hereby informs the Buyer, who is a Consumer, that in the event of a dispute arising from the contractual relationship governed by these GTC, the Consumer is entitled to seek out-of-court settlement of the consumer dispute. Entrepreneur – Anyone who independently carries out a gainful activity on their own account and responsibility in a trade or similar manner with the intention of doing so consistently for the purpose of making a profit. The Seller points out that sales in the E-shop are intended for the end customer and are not intended for resale.
1.5. Contract – A purchase contract concluded between the Buyer and the Seller in writing or in electronic form, the rights and obligations of the Buyer and Seller arising from which are governed by these GTC.
1.6. Goods – The entire assortment offered by the Seller for purchase.
1.7. Price – The price of the Goods agreed in the Contract in accordance with these GTC.
1.8. Civil Code – Act No. 89/2012 Coll., as amended, which governs the relationships arising from the Contract between the Seller and the Buyer. The Civil Code is hereinafter referred to in these General Terms and Conditions simply as "CC".
1.9. E-shop – The online store operated by the Seller on the website: www.goody77.cz
2. General Principles of Commercial Relations between Seller and Buyer
2.1. These General Terms and Conditions (hereinafter referred to as "GTC") form an integral part of the Contracts concluded between the Seller and the Buyer. Side agreements are valid only in individual cases and exclusively in text form. In the event of agreed special conditions, these GTC apply secondary to the special conditions.
2.2. Unless otherwise agreed, the Contract is concluded upon acceptance of the order placed by the Buyer via the E-shop.
2.3. The Seller is entitled to limit or cancel the order from the outset due to its production capacities. If, after the acceptance of the order, there is a change in the conditions on the part of the Seller under which the ordered Goods are to be delivered, the Seller undertakes to inform the Buyer of such change without delay, stating that the Contract will only be concluded upon approval of the new conditions by the Buyer.
2.4. The Seller's offers contained in advertising materials, catalogues, and on the internet are non-binding and serve only for the general orientation of the Buyer regarding the prices of the Goods sold by the Seller, who reserves the possibility of changing and correcting printing errors and mistakes.
2.5. The Seller's Goods are exclusively goods with a short shelf life (perishable goods); therefore, the Consumer has the right to unilaterally withdraw from the Contract concluded in the E-shop only until the Seller sends the notification of dispatch of the ordered Goods.
2.6. The Consumer is entitled to withdraw from the Contract by sending a notification in text form to the Seller or by using the withdrawal form published in the E-shop; the deadline is met if the notice of withdrawal is sent on the last day of the deadline.
2.7. If the Consumer withdraws from the Contract, the Consumer shall bear the costs associated with the return of the Goods, as due to their nature, the Goods cannot be returned by standard post.
3. Ordering Goods
3.1. An order for Goods may be placed by the Buyer via the E-shop, where all contacts and data for placing an order are listed on the web interface www.goody77.cz.
3.2. When ordering Goods, the Buyer is obliged to specify exactly the quantity and type of Goods ordered and the place of delivery; if the place of delivery is not individually designated by the Buyer, the Buyer's residence (or registered office) is considered the place of delivery.
3.3. When ordering Goods, the Buyer is obliged to truthfully and completely provide the Seller with their name, residence, place of delivery of the Goods (if different from the residence), and date of birth, or their business name or company, identification number, and registered office. If damage arises on the part of the Seller due to false or incomplete data provided by the Buyer, the Buyer bears full responsibility for the damage thus caused to the Seller.
4. Delivery of Goods
4.1. The Goods are delivered by the Seller at the moment of takeover of the Goods by the Buyer from the Seller or by handing over the Goods to the carrier through whom the delivery of the Goods between the Buyer and the Seller was agreed.
4.2. The shipping cost for orders of Goods with a price higher than 1,500 CZK is borne by the Seller.
4.3. The risk of damage to the goods passes to the Buyer at the moment of takeover of the Goods.
4.4. The delivery period is determined by the Seller generally in advertising materials or catalogues, and the Seller is entitled to determine the delivery period for each separate business case; the additional determination of the delivery period is excluded in the case of an already accepted order.
4.5. As a result of force majeure (e.g., natural disaster, civil unrest, epidemiological measures, etc.), where the Seller is unable to meet the delivery deadline, the Seller is entitled to withdraw from the concluded Contract; in such a case, the Seller is obliged to return to the Buyer all payments already received for the Price within 3 days of withdrawal.
4.6. The Buyer bears all costs associated with their refusal to take over the Goods that are duly delivered by the Seller.
4.7. Unless otherwise agreed in writing between the Buyer and the Seller, the Goods will be delivered in packaging ensuring the preservation of the quality of the Goods.
5. Liability for Defects, Claims arising from Defects in Goods – COMPLAINTS PROCEDURE
5.1. Defects detectable upon takeover of the Goods must be claimed by the Buyer with the Seller within a period of 3 days from the date of takeover of the Goods, using the form published in the E-shop. The day of sending the complaint is decisive for the timely filing of the complaint.
5.2. Defects that could not be detected upon takeover of the Goods and which became apparent during the minimum shelf life period must be claimed by the Buyer with the Seller using the form published in the E-shop or by a written complaint delivered to the Seller no later than on the last day of the minimum shelf life period marked on the packaging of the Goods.
5.3. within the scope of a claim for a defect in the Goods, the Buyer is entitled to:
5.3.1. require the removal of the defect by delivery of new Goods without defect or by delivery of missing Goods, or
5.3.2. withdraw from the Contract.
5.4. The Buyer has the obligation to inform the Seller which right under paragraph 5.3 of these GTC they have chosen. In the event that the Buyer does not inform the Seller which right under paragraph 5.3 they have chosen, the Buyer only has the right to the removal of the defect by delivery of new Goods without defect or by delivery of missing Goods.
5.5. The choice between the claims listed in point 5.3 belongs to the Buyer only if they notify the Seller properly and in time within the periods under paragraphs 5.1 and 5.2 of these GTC. The Buyer cannot change the claimed right without the consent of the Seller.
5.6. The Seller provides the Buyer with a quality guarantee for the Goods sold by the Seller to the Buyer, consisting in the fact that the Goods will be fit for use for the usual purpose or will retain their usual properties for the duration of the minimum shelf life marked on the packaging of the Goods. The Buyer expressly understands that the Goods are intended for a short consumption period after opening the packaging in which they are delivered, and the quality guarantee expires upon opening the packaging.
6. Price and Payment
6.1. The Buyer draws basic information about the Price from the E-shop. The Seller always states the prices of the Goods specifying the amount with VAT and without VAT. The amount of Value Added Tax depends on its determination by the relevant law effective on the date of conclusion of the Contract. For the Consumer, the price of Goods and/or Services listed in the E-shop is fixed, and such notification is always binding on the Seller vis-à-vis the Consumer.
6.2. The Buyer pays the price of the Goods by cashless transfer to the Seller's account or via the payment gateway on the E-shop.
6.3. In the event of withdrawal from the Contract by the Buyer in accordance with these GTC, the Seller undertakes to return the already received payment of the purchase price within 3 days of the justified withdrawal from the Contract by the Buyer.
7. Final Provisions
7.1. Contractual relationships between the Seller and the Buyer are governed exclusively by Czech law.
7.2. The GTC are published by placement on the website and E-shop of the Seller.
7.3. These GTC become valid and effective on the day of their placement on the website and E-shop of the Seller. All contractual relationships arising between the Seller and the Buyer from 01.10.2024 are governed by these GTC.
